THE FOLLOWING DESCRIBES THE TERMS ON WHICH MOAZAFONLINE.COM OFFERS YOU ACCESS TO OUR SERVICES. Moazafonline.com may fine-tune or modify this User Agreement in whole or in part from time to time, without notice, by posting an amended User Agreement on the Site or any linked knowledge. Such updated version of the User Agreement will be effective at the time they post it.

The terms "You", "Your", "User", or "Users" refer to someone accessing our Services or Site for any reason. Moazafonline.com provides a venue to introduce Users who require to provide professional services ("Freelancers") & Users who seek such professional services ("Employers")(respectively or jointly as the "Parties" & individually as a "Party"). The Site permits Users to identify each other & work together online to complete, bill & pay for projects.

Moazafonline.com reserves the right to terminate the participation of any User without reason but expressly including any User that Moazafonline.com judges to be in violation of the User Agreement. Without limiting the foregoing, Moazafonline.com may terminate the participation of a User if they think that they are generating issues, legal liabilities (actual or potential), infringing someone else’s intellectual property rights, engaging in fraudulent, immoral or illegal activities, or for other similar reasons.

On the Employer awarding a project to a Freelancer and the Freelancer's acceptance of a project on the Site, the Employer agrees to buy, and the Freelancer agrees to deliver the Provider Services in accordance with the following agreements: (1) the User Agreement; and (2) the User Services Agreement between the Employer and Freelancer available on the Site, as amended from time to time; (3) any other contractual provisions accepted by both the Freelancer and Employer uploaded to the Site, to the extent not inconsistent with the User Agreement; and (4) the project terms as awarded and accepted on the Site, to the extent not inconsistent with the User Agreement.

The obligations of the Freelancer and Employer are set out in the Services Agreement between Freelancer and Employer. When you enter in to a transaction you generate a legally binding contract with another User, unless the transaction is prohibited by law or by this User Agreement. You are responsible for ensuring that you comply along with your obligations to other Users. In the event you do not, you may become liable to that User(s). You must make sure that you are aware of any domestic laws (including common law) international laws, statutes, ordinances and regulations relevant to you as a Employer or Freelancer, or in any other makes use of you make of the Site. If another user breaches any obligation to you are solely responsible for enforcing any rights that you may have. For the avoidance of doubt, Moazafonline.com has no responsibility for enforcing any User rights. You agree not to enter in to any contractual provisions in conflict with the User Agreement. Any provision of a member contract in conflict with the User Agreement is void.

Moazafonline.com does not offer any kind of insurance or other Employer or Freelancer protection which will assist you, because our Site merely provides the world wide web venue for Users to offer, sell, & buy professional services & they are not otherwise involved in the transactions & interactions between Employers & Freelancers. However, some forms of payment allowed on the Site, such as PayPal or credit card, may offer limited buyer or seller protection or chargeback services & you ought to familiarise yourself with these before proceeding with a transaction of any kind through the Site.

Each User acknowledges & agrees that the relationship between Users is that of independent contractors. Nothing in this User Agreement creates a partnership, joint venture, agency or employment relationship between: (1) Users; or (2) between us & any User. Because user identification on the Web is difficult, they cannot & does not confirm each User's purported identity.

Moazafonline.com offers a variety of tools, content, products, services, benefits, and other resources on the Site of particular interest to freelancers and to enable freelancers effectively and cost effectively manage their careers, professions, and businesses. These Services are for use only under a non-exclusive, non-transferable, and non-assignable license under these terms and conditions of use. You do not have the right to copy, sell, or otherwise exploit for any commercial purpose the Services or content (in whole or in part), access to this service or use of this service. A number of the Services offered at the Site may include feedback to questions by Users of this service and/or articles with original content and opinions. Use of this content or links to this content is at the User's own risk. No warranty is made that the knowledge is correct or reliable and Moazafonline.com and its related entities, directors, officers and agents disclaim all liability and responsibility for any direct or indirect loss or destroy you may suffer relying on anything contained in or omitted from this content.

The User understands and agrees to the following terms: Our Site merely acts as an online venue to allow Users to offer and buy professional services. You acknowledge and agree that Moazafonline.com is not involved in the actual transaction between the Freelancers and Employers. As a result, Moazafonline.com has no control over the quality or legality of the professional services provided by Users on our Site, or the ability of Freelancers to provide the services or the Employers to pay for the services. We do not guarantee that a User will actually complete a transaction or act lawfully in using the Site. Some of the content provided at the Site may relate to various subjects such as information pertaining to legal matters, financial matters, health matters, and other matters for which the content of is provided in an advisory nature. This information is provided solely for informational and general non-advisory purposes. If desired, Users should use their own efforts to confirm such information with a professional(s) in the pertinent field(s). All of the information that Moazafonline.com provides should not be considered professional, medical, legal, technical, or any other discipline-specific advice. The Site is a dynamic time-sensitive web site. As such, the information on the Site will be changed frequently. It is possible that some information could be considered offensive, harmful, or inaccurate, and in some cases may be mislabelled or deceptively labelled accidentally by Moazafonline.com or accidentally or purposefully by a third-party, regardless of whether such third parties are with or without a legitimate business purpose. Moazafonline.com expects that the User will undertake necessary activities and practices and will use caution and common sense when using Moazafonline.com for User's Account.

You agree and acknowledge that unless explicitly requested, Moazafonline.com may display your company name, logo and public description of your projects and profile as part of the Moazafonline.com website(s) and / or other Moazafonline.com materials.

All fees are set forth in the summary of Moazafonline.com' fees & charges which can be found on the Site. All fees will be assessed in US dollars. Your Account & all transactions are made & displayed in US dollars unless otherwise specified. Moazafonline.com earns fees for generating, hosting, maintaining, & providing the Site, & for all Services delivered by Moazafonline.com that are available through the Site & to cover expenses & charges Moazafonline.com incurs to banks, credit card companies, PayPal, & payment processors. After deducting such amounts, Moazafonline.com transfers the remaining payment amount to the service provider. Moazafonline.com charges fees in relation to the posting of a project;; posting a featured project; hiding a project from search engines; posting a full time project; project commission fees; & other miscellaneous fees that are described on the Site. Users can select various membership programs to subscribe to different levels of participation on the Site which will incur additional fees.

Moazaf Online Affiliate Program ("Affiliate Program") is a program that lets you receive a payment ("Bonus") in to your Account for referring a brand spanking new user ("Referred User") to Moazafonline. To participate in the Affiliate Program, you must comply with all of these requirements, and have an Account that is in lovely standing.

The Referred User must be an individual (or business) with whom you have a pre-existing relationship. You may not receive names for referrals from group e mail addresses, third party bulk mailing lists, customer lists, or other similar sources. In the event you send Spam in order to recruit Referred Users, Moazafonline may immediately and permanently close your Account, without paying out any accrued Bonus.

The amount of the Bonus is based on the Referred User's net project fees ("Project Fees"), defined as the total project fees less any charge backs, refunds, & reversals. The amount of the Bonus will be determined by Moazafonline & equal to 20% through referrals by the "Invite Friends" module.

You are eligible to get Bonus payouts for the first three months of the Referred User's Account possession.

To be eligible for a Bonus, the Referred User must: (1) sign up for an Account through either the supplied affiliate links or invitations through the "Invite Friends" module; (2) become a User; and (3) not already have an Account at the time of the referral (or historically in the past).

Moazafonline may discontinue or alter the Affiliate Program at any time by providing you with seven days. In the event that the Affiliate Program is discontinued, you will get the Bonus for all of your Referred Users that have satisfied all of the requirements in this section prior to the discontinuation date of the Affiliate Program.

In the event that the Employer has not provided any instruction to Moazafonline.com with respect to a Milestone Payment within one year after the day that the Milestone Payment was made, & has not logged in in the coursework of that time period, such Milestone Payment will be refunded to the User account of whom initially paid it.

You agree that you won't get interest or other earnings on the money that Moazafonline.com treats as your contractor. Moazafonline.com may get interest on that money. Moazafonline.com won't be liable for any lost interest on such money. All amounts are said in and all payments will be made in US funds. Moazafonline.com reserves the right to suspend a withdrawal if the source is suspected to be fraudulent. Any funds received from an account having made a fraudulent deposit (e.g. stolen credit card) will be reversed. If in a fraudulent payment situation a withdrawal has already been processed, you will be expected to return the funds to your Moazafonline.com account or face account termination and any other cures obtainable to Moazafonline.com to return the funds. Any User that Moazafonline.com removes from the service due to violation of the User Agreement will receive no credit or payment & will become liable for definite fees described in this User Agreement. Moazafonline.com requires you to make all payments to Moazafonline.com & to make payments to & accept payments from other Users in the acquisition & sale of Services for Moazafonline.com projects directly through the process available on the Site. You understand & agree that Moazafonline.com won't hold money (including Milestone Payments) delivered to Moazafonline.com from Users for the acquisition & sale of Services in a separate account, but may commingle & deposit such money with other money to be paid to other Users & with money of Moazafonline.com in any account, at any institution, or in any other manner Moazafonline.com may choose in its sole discretion from time to time. In addition, you understand that such commingled money could be used to pay other Users & by Moazafonline.com for general corporate purposes or otherwise, on condition that Moazafonline.com will stay contractually bound to make payment to you, as a Freelancer or Employer, for any purchases & sales of Services provided by you through Moazafonline.com. To the extent Moazafonline.com is bound to make payment to you; you will be an unsecured creditor of Moazafonline.com.

You acknowledge that: (1) Moazafonline.com is not a bank or financial institution and does not provide financial services; (2) the amounts marked on deposit, including Milestone Payments, in a User Account are not segregated in to a separate account but represent obligations of Moazafonline.com to the User with respect to the acquisition and sale of Services through Moazafonline.com; (3) Moazafonline.com is not acting as a trustee or fiduciary with respect to such money or payments, but is acting only as an agent and (4) amounts transferred through or stored in the payment service are not insured or guaranteed deposits. Your Account won't constitute a milestone. By initiating and sending payments through Moazafonline.com, you appoint Moazafonline.com as your agent to get the money and hold and to transfer such money to the Freelancer or Employer for Services, subject to these terms and conditions.

You acknowledge & agree that any charge backs (a chargeback occurs when a buyer rejects or reverses a charge on his or her credit card through the credit card issuer) on money paid to you by Employers through the Site are your responsibility & you won't hold Moazafonline.com liable for such. You agree that Moazafonline.com may reverse any such payments that are subject to chargeback by our Payment Processors. To cover the cost of processing charge backs, Moazafonline.com assesses a US$20.00 fee to Users for credit & debit card payment charge backs.

If there's not sufficient funds in your User Account to meet outstanding fees and charges, Moazafonline.com reserves the right to collect any amounts owing to Moazafonline.com by any other legal way.

You are responsible for paying any taxes, including any goods & services or value added taxes, which may be applicable depending on the jurisdiction of the services provided by Moazafonline.com.

You are strictly prohibited from trying to negotiate the fee for a project with another user directly (outside of Moazafonline.com) after that project has been created & before that project has been closed (i.e. in the work of an ongoing project). This also applies to any project that was closed without a Service Provider is being selected, & then contacting them about the project anyway. Both parties are responsible for notifying Moazafonline.com if the payment value increases (above the bid amount) after the project is closed. You are strictly prohibited from under-bidding on projects in an try to renegotiate the actual cost privately, avoiding fees. They objective to provide a fair & open playing field at Moazafonline.com, & such activities interfere with providing such a marketplace. Moazafonline.com charges project commissions on all funds received by either direct transfer or Milestone Payment through the site, irrespective of the final bid amount. We think our commissions are reasonable and justified for the service they provide, therefore they will absolutely not tolerate any fee avoidance or underbidding on the Site.

Users agree not to post their e-mail address on the site, except in the "e-mail" field of the signup form, or when asked by Moazafonline.com at any time. There ought to be no need to give somebody your e-mail address. It is automatically provided in the event you select a Service Provider (or you are the Service Provider selected for) a project, & before that time you can use the message board to communicate. This does not only apply to e-mail addresses, but to all methods of communication, including phone, ICQ, AIM, MSN Messenger, Google & Yahoo.

You are prohibited from making direct contact with another User, unless it is for a project you (a Service Provider) have been picked for, or you (a Service Buyer) have picked a Service Provider for. This includes giving out your e-mail address, ICQ number, phone number, or any other system of contact outside of this site. Moazafonline.com provides you with message boards, which ought to be sufficient for pre-project planning.

The User is solely responsible for content or any other information the User provides to Moazafonline.com. User understands and agrees to the following:  Moazafonline.com is only acting as a venue for the net distribution and publication of User content. Moazafonline.com has the right (but no obligation) to take any action deemed appropriate with respect to User content if it is believed that such content may generate liability for Moazafonline.com, harm its business operation or reputation, or cause Moazafonline.com to lose services of its suppliers.  No copyrighted material can be posted on the Site. This includes scripts being sold by the author. Only posting sections, or excerpts of these scripts, as examples, will be allowed. A "section" or "excerpt" being no over 10% of the script's contents. This is meant to protect the author's property rights.

By using the Site, you acknowledge that you transfer copyright of your feedback, reputation and reviews you leave (whether an "Employer" or "Freelancer"), consisting of comments and a multidimensional rating (e.g. Quality, Communication, etc) together with a composite rating by Moazafonline.com ("Feedback"). You acknowledge that this feedback belongs solely to us, notwithstanding that they permit you to make use of it on our Site while you stay a member. You may not use it or deal with it in any way inconsistent with Moazafonline.com's policies. Moazafonline.com's feedbacks belong to us and not are used for any purpose other than facilitating the exchange of services between Users of the Site. You may not use your Freelancer feedback (including, but not limited to, promotion or exporting your composite rating or feedback comments) in any actual or virtual venue other than a web-site operated by Moazafonline.com without our written permission. You may not do (or omit to do) anything that may undermine the integrity of the Freelancer feedback process. They are entitled to suspend or terminate your membership at any time if they, in our sole and absolute discretion, are concerned by any feedback about you, or your feedback rating is thought about to be problematic to Freelancer.

Users are prohibited from promotion a web-site on the Site. Any URL posted in a bid, project description, or the message board, must relate to a project on Moazafonline.com. An example of an allowable URL would be a User's portfolio or resume page.

Service Providers can only place bids that equal the total amount of funds they are requesting for the project. You cannot post an every hour bid or any other abnormal type of bid. Also applies to Employers. Service Buyers cannot generate projects that directly or indirectly need Service Providers to place every hour or other abnormal bids. Moazafonline.com discloses sensitive personal information only if necessary to comply with legal obligations or along with your consent.

The content and compilation of content included on the Site, such as text, graphics, logos, icons, images, audio clips, digital downloads and application, are the property of Moazafonline.com and protected by international copyright laws.

This Agreement may be assigned by Moazafonline.com to a third party without your consent in the event of a sale or other transfer of some or all of the assets of Moazafonline.com. In the event of any sale or transfer you will stay bound by the User Agreement. Headings are for reference purposes only and in no way define, limit, construe or explain the scope or extent of such section. Our failure to act with respect to an anticipated or actual breach by you or others does not waive our right to act with respect to later or similar breaches. Nothing in this clause shall exclude or restrict your liability arising out of fraud or fraudulent misrepresentation.
